1. Introduction & Agreement to Terms

Welcome to HOA Simplify. These Terms of Service ("Terms") govern your use of our platform and services. By accessing or using HOA Simplify, you agree to be bound by these Terms.

These Terms apply to all users of the platform, including HOA administrators, board members, and residents. If you are using HOA Simplify on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Eligibility & Usage

Account Responsibilities

• You must be at least 18 years old to use HOA Simplify
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must provide accurate, current, and complete information
• You must promptly update your information if it changes

Prohibited Conduct

You agree not to:

• Use the platform for any fraudulent or illegal purpose
• Violate any applicable laws or regulations
• Harass, abuse, or harm other users
• Impersonate any person or entity
• Attempt to gain unauthorized access to any part of the platform
• Interfere with or disrupt the platform's operation
• Upload malicious code or viruses
• Scrape or copy content without permission
• Use the platform to send spam or unsolicited communications

3. Subscription & Billing

• Users are charged recurring fees or usage-based payments via Stripe
• Subscription fees are billed in advance on a monthly or annual basis
• All payments are processed securely through our payment processor, Stripe
• All payments are non-refundable
• You authorize us to charge your payment method on a recurring basis
• You are responsible for all applicable taxes
• Failure to pay may result in suspension or termination of your account

4. Cancellations & Termination

• Users can cancel their subscription anytime through their account dashboard
• Cancellation will take effect at the end of the current billing period
• No refunds will be provided for partial months or unused time
• We may suspend or terminate accounts for violations of these Terms
• We may terminate accounts for non-payment
• Upon termination, your right to use the platform will immediately cease
• We may retain certain data as required by law or for legitimate business purposes

5. Disclaimer of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Cramer Tech LLC and HOA Simplify shall not be liable for:

• Any decisions made by HOA boards or administrators
• Disputes between users, residents, or HOA members
• Misuse of platform data or information
• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Unauthorized access to or alteration of your data
• Any third-party conduct on the platform

6. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Effective Date" at the top of this page and notify users via email or through the platform. Your continued use of HOA Simplify after any changes constitutes acceptance of the new Terms.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Texas.
